Kuwait, September 2026: Burgan Bank’s proposed capital increase of up to KWD 50 million through a rights issue is currently underway, with the subscription period having commenced on 31 August 2026 and continuing until 1:00 PM Kuwait Time on Monday, 14 September 2026.
The capital increase is designed to strengthen the Bank’s capital base and financial flexibility as it advances its next phase of strategic growth. The additional capital will support Burgan Bank’s strategic direction, which focuses on strengthening its Kuwait business, asset re-allocation and digital transformation, while enabling continued investment in its core franchise and the pursuit of selective growth opportunities within a disciplined capital and risk management framework.
Eligible shareholders whose names were registered in the Bank’ s shareholders’ register as of 30 August 2026, as well as holders of Pre-emption Rights, may participate in the subscription in accordance with the terms and conditions set out in the Prospectus and Subscription Application Form.
Capital Increase Structure and Key Terms
The proposed issuance is composed of 277,777,777 new ordinary shares at an issue price of 180 fils per share, comprising a nominal value of 100 fils per share and a share premium of 80 fils per share.
Eligible shareholders are entitled to subscribe for approximately 7.10% of their existing shareholding, subject to the terms and conditions set out in the Prospectus and subscription application. Under these terms, a shareholder holding 1,000 existing shares can subscribe for 71 new shares.
Each Pre-emption Right entitles its holder to subscribe for one Issue Share during the Pre-emption Right Subscription Period. Eligible subscribers may also apply for additional Issue Shares beyond their entitlement, subject to availability and the allocation mechanism set out in the Prospectus.
Upon completion of the issuance, the Bank’s issued and paid-up capital will increase by approximately KWD 27.78 million, while the share premium will amount to approximately KWD
22.22 million, resulting in total subscription proceeds of up to KWD 50 million.
The strengthened capital position will enhance Burgan Bank’s capacity to allocate capital toward its strategic priorities, bolster its core franchise and respond selectively to attractive growth opportunities, while maintaining a disciplined approach to capital, liquidity and risk management.
The offering is managed by Kamco Invest, the investment arm of Burgan Bank, acting as Issuance Advisor and Subscription Agent.
Capital to Support Burgan Bank’s Strategic Priorities
The additional capital will support the continued execution of Burgan Bank’s strategic agenda, advancing its growth strategy and accelerating digital transformation.
Strengthening the Bank’s Kuwait business remains central to its strategy, with continued investment focused on enhancing its competitive position, enriching customer relationships and building on the strength of its core franchise.
The Bank’s asset re-allocation strategy focuses on directing capital toward areas that offer attractive risk-adjusted returns and support a more efficient and sustainable balance sheet.
At the same time, digital transformation will continue to enhance the Bank’s operating model, customer experience and ability to deliver innovative, digitally-enabled banking solutions.
Together, these priorities are intended to position Burgan Bank for sustainable growth, while ensuring that capital is deployed selectively, with a continued focus on financial discipline and prudent risk management.

Subscription Continues Through 14 September 2026
The Pre-emption Right Subscription Period is currently underway and will close at 1:00 PM Kuwait Time on 14 September 2026. The Pre-emption Rights Trading Period runs from 31 August to 7 September 2026, inclusive, during Boursa Kuwait trading hours.
Eligible shareholders and holders of Pre-emption Rights can complete their subscription through the subscription platform operated by Kuwait Clearing Company (KCC) via www.ipo.com.kw or through the IPO Kuwait mobile application.
